1. Acceptance
By accessing or using this website, you agree to these Terms and Conditions. If you use the website on behalf of a business, you represent that you are authorized to act for that business. If you do not agree, do not use the website.
Submitting or completing a project brief does not create an agency-client relationship, require Juniper Metric to accept work, or create a binding obligation to provide services.
2. Website purpose
The website provides general information about SEO, paid advertising, social media, content, email marketing, branding, website design and development, landing pages, conversion optimization, analytics, and related services. Website information is not a guarantee, professional legal or financial advice, or a substitute for a project-specific assessment.
Service descriptions and price ranges are planning information. A final scope, schedule, price, payment schedule, and deliverable list must be agreed in writing.
3. Proposals and service agreements
A proposed engagement may be documented through a proposal, statement of work, order form, invoice, email acceptance, or service agreement. If a project document conflicts with these website terms, the signed or expressly accepted project document controls for that engagement.
Work begins only after required approvals, access, content, deposits, or initial payments are received. Estimated dates may change when the client delays feedback, access, materials, or approvals, or when a third-party platform creates a dependency outside reasonable control.
4. Client responsibilities
Clients agree to:
- provide accurate business, product, service, audience, pricing, and compliance information;
- hold the necessary rights to content, trademarks, contact lists, images, data, and account access supplied for use;
- review and approve materials within the agreed timeframe;
- comply with advertising, privacy, consumer protection, intellectual property, and industry-specific laws;
- maintain secure account ownership and appropriate administrator access; and
- pay invoices and third-party costs according to the agreed schedule.
Juniper Metric may rely on client-provided information and approvals unless there is a clear reason not to do so.
5. Fees, expenses, and taxes
Fees are stated in the applicable proposal or invoice. Recurring services may be billed in advance, while projects may use deposits, milestones, or other written schedules. Advertising spend, media purchases, software, hosting, domains, stock assets, printing, platform subscriptions, and other third-party costs are separate unless expressly included.
Invoices are due by the date shown. Late or unpaid amounts may result in paused work, revised schedules, collection costs permitted by law, or termination. The client is responsible for applicable sales, use, or similar taxes other than taxes imposed on Juniper Metric’s net income.
6. Advertising and platform services
Search engines, advertising networks, social platforms, email providers, hosting companies, and analytics tools operate independently. Juniper Metric does not control their policies, review decisions, outages, account suspensions, auction conditions, algorithms, or product changes.
The client remains the owner or authorized controller of client accounts whenever platform rules allow. No specific ranking, lead volume, cost per acquisition, approval, audience size, revenue, or return on advertising spend is guaranteed.
7. Results and estimates
Marketing performance depends on factors including offer quality, pricing, sales operations, competition, geography, budget, seasonality, website performance, market demand, platform changes, and client implementation. Past observations, benchmarks, timelines, or projections are not promises of future results.
Reporting is based on available tools and configured attribution. Different systems may calculate conversions, revenue, or sessions differently. The parties should agree which source is used for operational decisions.
8. Intellectual property
Client materials
The client retains ownership of materials it supplies. The client grants Juniper Metric a limited right to use those materials solely to perform the agreed services.
Deliverables
Ownership of final deliverables is defined in the applicable project agreement. Unless otherwise stated, ownership transfers only after full payment. Drafts, unused concepts, working files, methods, templates, know-how, processes, and pre-existing materials remain with their original owner.
Third-party materials
Fonts, stock assets, software, plugins, platform features, and other third-party elements remain subject to their own licenses. The client is responsible for ongoing license or subscription requirements disclosed for the project.
9. Confidentiality
Each party should protect non-public business, technical, financial, campaign, customer, and strategy information received from the other and use it only for the engagement. Confidentiality does not apply to information that is public without breach, independently developed, lawfully received from another source, or required to be disclosed by law.
Credentials should be shared through reasonably secure methods and removed when access is no longer needed.
10. Acceptable website use
You may not misuse the website, interfere with operation or security, attempt unauthorized access, introduce malicious code, scrape the website in a manner that creates unreasonable load, impersonate another person, or use website content in violation of intellectual property rights or law.
11. Disclaimers
The website is provided on an “as available” basis. To the fullest extent permitted by law, Juniper Metric disclaims warranties not expressly stated in a written service agreement, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the website will always be uninterrupted, error-free, or compatible with every device, browser, extension, or theme customization.
12. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption, arising from the website or services.
Unless a signed agreement states otherwise or applicable law prohibits the limitation, the total liability arising from a particular paid engagement will not exceed the fees paid to Juniper Metric for the services giving rise to the claim during the three months before the event. Nothing in these terms excludes liability that cannot lawfully be excluded.
13. Indemnity
To the extent permitted by law, a client agrees to defend and indemnify Juniper Metric against third-party claims arising from client-provided materials, unlawful instructions, products or services, inaccurate claims, unauthorized data, or breach of the client’s obligations. This section does not apply to the extent a claim results from Juniper Metric’s own unlawful conduct.
14. Suspension and termination
Website access may be restricted for misuse or security reasons. Services may be paused or terminated for nonpayment, unlawful requests, repeated failure to provide required materials or approvals, abuse, platform risk, or a material breach that is not cured within a reasonable period.
Amounts due for completed work, committed third-party costs, approved milestones, and other accrued obligations remain payable after termination. Cancellation details are further described in the Cancellation and Complaints Policy and any project agreement.
15. Governing law and disputes
Unless a signed agreement states otherwise, these website terms are governed by the laws applicable in the State of Iowa, without regard to conflict-of-law rules. Before filing a formal claim, the parties should make a good-faith attempt to resolve the issue through written notice and direct discussion.
16. General provisions
If a provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. These terms do not create a partnership, employment relationship, franchise, or fiduciary relationship. Obligations intended to survive termination—including payment, confidentiality, ownership, disclaimers, and limitations—will survive.
17. Changes
These terms may be revised to reflect changes in services, technology, website operation, or law. The updated date will identify the current version. Project-specific changes require the form of approval stated in the applicable agreement.
